Terms of Service

1 Acceptance of Terms

By accessing or using the Lulu.vet platform ("Service"), including any associated websites, applications, and APIs, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update or modify these Terms at any time. Continued use of the Service after any changes constitutes your acceptance of the revised Terms. We will notify registered users of material changes via email or in-app notification.

2 Description of Service

Lulu.vet provides a cloud-based veterinary practice management platform designed to help veterinary clinics manage their operations, including but not limited to:

• Patient and client record management
• Appointment scheduling and calendar management
• Billing, invoicing, and payment processing
• Inventory and pharmacy management
• Clinical workflows and medical records
• Boarding and grooming reservations
• Client communications and reminders
• Reporting and analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify users of significant changes to Service functionality.

3 User Accounts

To access the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that your account information remains current and accurate

You must be at least 18 years of age to create an account. Each user must have their own individual account; sharing of account credentials is prohibited. Lulu.vet reserves the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, subject to reasonable prior notice.

4 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable local, state, national, or international laws or regulations
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
• Transmit any malicious code, viruses, or other harmful software
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to store or transmit content that is defamatory, obscene, or otherwise objectionable
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated scripts or bots to access the Service without prior written consent
• Resell, sublicense, or redistribute the Service without authorization

5 Intellectual Property

The Service and its original content, features, and functionality are owned by Lulu.vet and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

You retain ownership of all data and content you upload to the Service ("User Content"). By uploading User Content, you grant Lulu.vet a limited, non-exclusive license to use, process, and store your User Content solely for the purpose of providing and improving the Service. We will not sell, share, or use your User Content for purposes unrelated to service delivery without your explicit consent.

6 Limitation of Liability

To the maximum extent permitted by applicable law, Lulu.vet and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total aggregate liability exceed the amount you have paid to Lulu.vet in the twelve (12) months preceding the claim. The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

7 Termination

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your right to use the Service will immediately cease.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, we will provide you with a reasonable opportunity (at least 30 days) to export your data. After that period, we may delete your data in accordance with our data retention policies.

All provisions of the Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Austin, Texas.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
